1. ACKNOWLEDGEMENT
These are the Terms and Conditions governing the use of this service and the agreement that operates between you and Upkeep & Co. These Terms and Conditions set out the rights and obligations of all users regarding the use of the service.

To the maximum extent permitted by applicable law, in no event shall Upkeep & Co or its suppliers be liable for any special, incidental, indirect, or consequential damages whatsoever (including, but not limited to, damages for loss of profits, loss of data or other information, for business interruption, for personal injury, loss of privacy arising out of or in any way related to the use of or inability to use the service, third-party software and/or third-party hardware used with the service, or otherwise in connection with any provision of this Terms), even if Upkeep & Co or any supplier has been advised of the possibility of such damages and even if the remedy fails of its essential purpose.
Some states do not allow the exclusion of implied warranties or limitation of liability for incidental or consequential damages, which means that some of the above limitations may not apply. In these states, each party's liability will be limited to the greatest extent permitted by law.
3. INTELLECTUAL PROPERTY
The service and its original content (excluding Content provided by You or other users), features and functionality are and will remain the exclusive property of the Upkeep & Co and its licensors.
The service is protected by copyright, trademark, and other laws of both the country and foreign countries.
Our trademarks and trade dress may not be used in connection with any product or service without prior written consent from Upkeep & Co.
4. LINKS TO OTHER WEBSITES
Our service may contain links to third-party websites or services that are not owned or controlled by Upkeep & Co.
Upkeep & Co has no control over, and assumes no responsibility for, the content, privacy policies, or practices of any third-party websites or services. You further acknowledge and agree that Upkeep & Co shall not be responsible or liable, directly or indirectly, for any damage or loss caused or alleged to be caused by or in connection with the use of or reliance on any such content, goods or services available on or through any such web sites or services.
We strongly advise you to read the terms and conditions and privacy policies of any third-party websites or services that you visit.
5. PRICING AGREEMENTS, FEES & CHARGES

Agreed scope of work
Date and time of the required service
2. All quotes are subject to the condition of the premises on the day of service.
3. Additional services will incur additional charges.
4. Upkeep & Co may charge fees for processing credit card and cheque payments, and late payment fees on outstanding invoices.
6. PAYMENTS
All services purchased are subject to a one-time payment. Payment can be made through various payment methods we have available, such as credit card and bank transfer.
Payment cards (credit cards or debit cards) are subject to validation checks and authorization by your card issuer. If we do not receive the required authorization, we will not be liable for any delay or non-delivery of your service.
7. DISPUTES & RESOLUTION
If you have any concern or dispute about the service, you agree to first try to resolve the dispute informally by contacting Upkeep & Co.
8. TERMINATION
Upkeep & Co may terminate any agreement if:
There is no performance on your part
You breach the agreement
Client may terminate the agreement if:
We fail to complete the agreed service at the agreed time
No performance on our part
Prior to any termination, the terminating party must provide notice to the terminated party by providing details of the reasoning behind the termination. Upon discussing the reasoning behind the termination, the terminated party will have an agreed time to rectify the concerns behind the termination.
9. CUSTOMER SATISFACTION GUARANTEE
If you are not completely happy with your recent service, you must notify the team at Upkeep & Co within 24 hours of service, by email or phone. Once we receive the notification, we will send another team to reassess and if required re-service the areas of concern free of charge. Re-service must happen within 7 days of the last service or at an agreed point in time.
10. CANCELLATION POLICY
All service cancellations must be made 24 hours prior to the service scheduled date. If any service is cancelled within the agreed 24 hour period before the service is set to be completed, the customer may be charged up to 50% of the booking total.
Repeated cancellations or offences will cause a disruption in our program of work and may result in the cancellation of your service and impact any future service agreements.
11. DAMAGE AND LOSS POLICY
If there is damage or loss during your service, you must notify the team at Upkeep & Co within 24 hours of service, by email or phone.
12. HOARDING & HAZARDOUS CONDITION POLICY
If your premises is deemed a hazardous area that goes over and above our normal working environment that is covered by our service agreement, our teams have the right to walk away. All our services are provided in accordance with occupational health and safety regulations.
13. FEEDBACK TO US
You assign all rights, title and interest in any feedback you provide to Upkeep & Co. If for any reason such assignment is ineffective, you agree to grant Upkeep & Co a non-exclusive, perpetual, irrevocable, royalty-free, worldwide right and license to use, reproduce, disclose, sub-license, distribute, modify and exploit such feedback without restriction.
14. CHANGES TO TERMS AND CONDITIONS
We reserve the right, at our sole discretion, to modify or replace these terms at any time. What constitutes a material change will be determined at our sole discretion.
By continuing to access or use our service after those revisions become effective, you agree to be bound by the revised terms. If you do not agree to the new terms, in whole or in part, please stop using the website and the service.
15. GOVERNING LAW
The laws of the country, excluding its conflicts of law rules, shall govern these terms and your use of the service. Your use of the application may also be subject to other local, state, national, or international laws.
